Professional Experience

Before joining in Guantao Law Firm, Ms. Yuan has served as the China Legal Head for both US and French based MNCs for many years. Ms. Yuan specializes in areas of corporate law/M&A, FDI and IP protection with affluent practicing experience. Ms. Yuan provides legal service in a wide range of industries, including but not limited to media, TMT and education and training.

In the practicing area of corporate law and M&A, Ms. Yuan mainly provides legal service of project transaction structure design, due diligence, legal documents review and drafting and transaction settlement related matters. In the area of FDI, the legal service that Ms. Yuan provides covers legal entity (mainly “WFOE”) setup, equity structure change of WFOE as well as legal advisory service for foreign representative offices. In addition, Ms. Yuan and her team serve as legal advisor for numerous enterprises with focus on intellectual property rights (with trademark, copyright and patent included) protection under PRC laws.

Ms. Yuan graduated from Shanghai Jiaotong University with LL.B degree and Chicago-Kent College of Law in Chicago, US with LL.M degree.

• Assisted numerous foreign companies to establish wholly foreign owned enterprises (“WFOE”) or representative offices in the territory of People’s Republic of China (“PRC”)

• Provided legal service in relation to large-scale financing projects for a national renowned culture & media company

• Provided offshore IPO legal service for a well-known medical service company

• Provided perennial legal service for a worldwide well recognized multinational pharmaceutical manufacturing company

• Provided legal service in relation to trademark registration and maintenance in client’s designated jurisdictions for a well-known multinational company
